Hi,
I suppose this is an odl story but anyway ...
I am thinking of buying headphone amp for my sleeping room. I thought to go for second hand MF X-Can V2 and then to upgrade it. But then, there is also a possibility to go for V3 version and to upgrade it. Which one sounds better when upgraded (or not) ?
My phones are: Grado SR325i.

People that have had both say that the V2 is more fun to use than the V3, ie not necessarily better in terms of measurements or strict real world accuracy, but a more musical listen. The V2 will cost less to buy but are sold less often than the V3, so you'd probably need to wait for the chance to grab one. Dunno about matching to the Grados, however someone like Mike could probably advise on the best output capacitors and resistor values give the low impedance.
Both would benefit from modding and an external PSU, a V2 with original tubes could do with them being replaced due to use. DIYing a PSU for the V2 is easier - obvously this would involve wiring up an input, switch and fuse for the mains so care is necessary.
A cheaper option for the DIYer is the Jaycar kit which costs under £9 for the main PCB and parts, a full build with extra optional DIY power supply ripple eating board is under £50 unless especially expensive parts are used, such as a flashy case or paper capacitors.

I have had both the V2 and V3 w/ PinkFloyd Mods and Little Pinkie's PSUs. I am one of those that recognizes the V3 to be a superior sounding amp from a technical point of view. However the V2 gets my feet tapping much more than the V3. Are you in the USA? If yes I know someone who might be intersted in selling an stock V2. I am not from US but if the price is right ... @all Thanks a lot for these comments. It seems to me that V2 is the way to go.
